of the Association of Hawaii Artists Article
Article
I- Nomenclature and Objectives Section
I - The name of this organization is THE ASSOCIATION OF HAWAII
ARTISTS. Its domicile is Honolulu, Hawaii.
Section
2 - Its objective is to promote cooperation and congeniality among
Hawaii's artists and those interested in art; to stimulate growth
and ability among its members by presenting programs and projects
designed to enrich and educate; and to contribute to the cultural
life of our state and community wherever and however possible.
Article
II-Membership and Privileges Section
I - Any person upon payment of dues and filing membership application
may enjoy membership in the Association.
Section
2 - Members in good standing shall receive all authorized publications
and notices originated by the organization. Loss of membership
is incurred if annual dues have not been paid by September I of
each year.
Section 3 - Any person may be appointed an Honorary Life Member
upon approval of the Executive Board and by an approving vote
of the membership. Due notice shall be given to the membership
of the date, time, and place of such vote action.
Section
4 - Honorary Life Members do not pay annual dues and may not propose,
second, or vote on membership actions. They may not hold office
in the Association.
Article
III- Finances Section
I
- Annual dues shall be determined by the Executive Board in April
of each year. Any changes shall be subject to approval by two-thirds
of the members present and voting at the next general membership
meeting.
Section
2 - The fiscal year of the Association shall be from July I to
July 1.
Section
3 - An auditing board appointed by the President shall make an
annual audit of the Treasurer's accounts.
Article
IV- Election of Officers
Section
I - The elected officers shall be: President, 1st Vice President,
2nd Vice President, Recording Secretary, Corresponding Secretary,
Treasurer & Assistant Treasurer. Terms of office shall correspond
to the calendar year.
Section 2 - Election of Officers shall be held in November of
each year.
Section
3 - Election of Officers are created by a Nominating Committee
appointed by the Executive Board. Nominations may be made from
the floor, but no name may be submitted for nomination unless
the person has agreed to serve if elected.
Section
4 - A plurality of votes cast shall constitute elections to office.
Section
5 - When only one person stands for an office, the presiding officer
shall instruct the Secretary to cast the elective ballot for the
candidate.
Section
6 - Officers may succeed themselves if they indicate a willingness
to serve if elected.
Section
7 - A vacancy in elective office may be filled either with a special
election by the general membership or by election at the first
regular meeting following the vacancy.
Article
V-Duties of the Officers
Section
I - The President shall preside at regular and special meetings
and meetings of the Executive Board. The President is a member
ex-officio of all committees with the exception of the Nominating
Committee. The President shall obey all rules and bylaws of the
organization and be familiar with parliamentary procedure sufficiently
to conduct orderly and productive meetings.
Section
2 - Two Vice Presidents shall fulfill the duties of the President
in absentia or when directed. The 1st Vice President shall assume
and perform the duties of the President when absent; be familiar
with the bylaws and rules of parliamentary procedure; conduct
correspondence and public relations in the name of the organization
including the supervision of the editing and distribution of the
PAINT RAG; supervise the work of the Program Committee. The 2nd
Vice President shall assume and perform the duties of the Ist
Vice President in absentia; be familiar with the bylaws and rules
of parliamentary procedure; serve as Exhibit Committee Chair assuming
the responsibility for all exhibits undertaken by the organization.
Section
3 - The Recording Secretary shall keep an accurate record of the
proceeding of all meetings and maintain files useful to the organization.
Section
4 - The Corresponding Secretary shall provide such correspondence
in the name of the organization as shall be required or desired,
notify officers of Executive Board meetings and maintain files
useful to the organization.
Section
5 - The Treasurer shall receive, account for and disburse all
monies belonging to the organization and render periodic reports
as may be helpful or necessary to the function of the organization
and assist the Membership Committee in its functions.
Section
6 - The Assistant Treasurer shall maintain a current membership
list based on the receipt of dues and made available at all times
to members of the Executive Board; assist the Treasurer in such
matters as may be requested and assume the Treasurers functions
in case of absence or disability.
Section 7 - The Treasurer shall disburse all monies for mandatory
or routine fees and charges owed by the organization. If, in the
Treasurer's judgment, such disbursements are questionable they
may be paid with a note of reservation to other members of the
Executive Board, communicate with all other members of the Executive
Board for guidance and opinion, or refuse disbursement pending
approval of a majority of the Executive Board. The Treasurer's
own opinion (vote) in such matters may be counted.
Article
VI - The Executive Board
Section
I - The Executive Board shall consist of seven elected officers
(Article IV) and the immediate past president of the organization.
Section
2 - A majority of votes by members of the Board is sufficient
to determine questions and actions. Dissenting members may re-state
and re-argue issues before the Board, but shall abide by the majority
vote in each instance.
Section
3 - Five members shall constitute a quorum of the Board.
Section
4 - Meetings of the Board should be called upon by the President;
upon request of four members of the Board; or in the case of special
meetings, at the request of the concerned officer. No business
matters other than that for which a special meeting is called
shall be conducted by the Board in such instances.
Section
5 - The Executive Board shall present before those attending general
membership meetings any proposals, questions of issues which,
in the opinion of a majority of the Board, are subject to a vote
by the general membership.
Section
6 - All matters relating to issues, questions, or grievances concerning
or originated by any member of the organization may be submitted
to any member of the Board for consideration and decision by the
Board.
Section
7 - Members of the Board shall pass on to the newly elected officers
such records, correspondence or other materials as are useful
to the continuity of the Board.
Article
VII Section 1 - The following committees shall be considered standing
committees. The Chairs shall be appointed by the President, with
the exception of the Exhibit Committee whose Chair is the 2nd
Vice President. Committee Chairs shall have access to members
of the Executive Board at all times and may attend Board meetings
when, in their judgment, action or decisions devolving upon the
Board may be required or desired. All matters relating to, or
having an effect upon, persons outside the organization should
be cleared through the 1st Vice President.
Section
2 - Committees PROGRAM COMMITTEE: determines the objectives of
the organization as expressed by the Executive Board and plans
monthly meetings designed to contribute to those objectives; informs
the editor of the Paint Rag of all details regarding meetings
for the notification of members; supervises the details of regular
and special meetings to assure comfort, interest and assistance
to the membership. MEMBERSHIP COMMITTEE: takes such actions or
creates and distributes such materials as may be useful to the
general membership in the provision of current, pertinent and
useful facts regarding the members of the organization for the
membership of the organization; creates and maintains membership
applications and processes them in cooperation; with the Treasurer
and the Assistant Treasurer. EXHIBIT COMMITTEE: stages regular
or special showings of works of art upon call or upon its own
initiative; assures professional attention to such matters as
transportation, decoration, judging, cataloging, hanging, lighting,
awards and amenities, so as to set, and uphold high public and
private standards in all events that present art to the members
or to the public. SOCIAL COMMITTEE: provides the amenities as
may be necessary to the pleasurable conduct of meetings, exhibits
or special events; assists the integration of new members into
the organization; assists the Program Chair in such special requirements
as may be desired. WAYS AND MEANS COMMITTEE: conducts such special
events or operations, with the support of other committees, as
may be useful to fund-raising; provides fund-raising suggestions
to the Board; assists the Board and the membership in all operation
designed for fund-raising. ARRANGEMENTS COMMITTEE: prepares, in
cooperation with the Program Committee, all details concerning
acquisition, seating, lighting, decoration, and security of space
devoted to general or special meetings; assists in the procurement
and operation of special equipment required for the success of
meetings. SPECIAL EVENTS COMMITTEE: originates and conducts such
special events as may be useful to the education or stimulation
of the members in matters concerning art; informs the members,
via organization publications, of matters in the field of art
that may be useful, interesting or profitable. TELEPHONE COMMITTEE:
assists the Board and committee chairs in all such matters as
may require wide-spread or urgent communication with the general
membership. ARCHIVES COMMITTEE: maintains a record of AHA meetings
and events: assembles such material as it may deem useful for
reference, or documentation.
Section
3 - Such other committees as may be useful for regular or special
activities of the organization may be appointed and dissolved
at the discretion of the President, with the consent of those
appointed.
Article
VIII - Meetings
Section
1 - Meetings shall be held at least once monthly when practicable.
Special meetings may be called upon a majority vote of members
of the Executive Board.
Section
2 - Newly elected officers should be installed at a December meeting
of each year.
Section
3 - The order of business at each meeting shall, whenever practicable,
adhere to the following agenda; call to order-, reading of minutes
(unless dispensed by vote); reading of communications and correspondence
(unless dispensed by vote); report of the Treasurer (unless dispensed
by vote)-, old business; new business; announcements or comments;
program material; adjournment.
Article
IX - Rights of the General Membership
Section
I - Within the rules of parliamentary procedure, any member of
the organization may bespeak matters of concern at regular meetings,
special meetings, or upon invitation before the Executive Board.
Section
2 - Motions raised in regular or special meetings are considered
carried upon a two-thirds vote of the members of the organization.
Article
X - Adoption and Amendment of Bylaws
Bylaws
of the Association of Hawaii Artists may be adopted or amended
at any regular or special meeting upon a two-thirds vote of the
members present and voting, with the sole provision that notice
of proposed adoption or amendment of bylaws shall be provided
the membership via authorized organization communications at least
one week preceding such meetings.
Article
XI - Parliamentary Authority Demeter's "Manual of Parliamentary
Law and Procedure" shall serve as reference in all such matters.
